Bob is a partner in the Corporate Practice Group. His practice focuses on business transactions, with an emphasis on acquisition and disposition transactions, restructurings and strategic relationships. Bob's experience includes the representation of buyers and sellers in acquisitions involving both private and publicly held companies, restructuring transactions involving privately held companies and joint ventures, private and public securities offerings and governance matters involving both public and private companies.
Bob has particular experience in handling transactions and strategic relationships involving technology, e-commerce and services businesses. Bob's experience includes:
- Acquisitions, dispositions and strategic relationships involving businesses engaged in the payment card industry, electronic commerce and software businesses.
- Acquisitions and corporate governance matters involving services businesses, including architectural, engineering and technology-related services businesses.
- Fund formation and acquisition transactions involving investments in commercial timberlands by institutional investors.
- Capital formation and M&A transactions, including securities offerings, for businesses engaged in a variety of industries.
Bob has been listed as a member of Georgia's Legal Elite by
Georgia Trend magazine, and as a Super Lawyer by
Atlanta Magazine. In 2007, he was recognized in
The Best Lawyers in America in the area of Mergers and Acquisitions Law. He is a member of the State Bar of Georgia, the Florida Bar, the American Bar Association and the Atlanta Bar Association. Bob has served in a leadership capacity in a number of professional organizations, including Chairman, Business Law Section, State Bar of Georgia; President, Society of Corporate Secretaries and Governance Professionals, Southeastern Chapter; and Legal Counsel, Atlanta Bar Association and Atlanta Bar Foundation.
Bob earned his J.D.,
with honors, from the University of Florida College of Law where he served as the Senior Managing Editor of the
Florida Law Review and is a member of the Order of the Coif. Prior to entering law school, Bob spent three years with Digital Equipment Corporation, a major computer equipment manufacturer (now part of Hewlett-Packard), and he continues to work extensively with clients engaged in high-technology businesses. Bob received his B.A. in Business from Stetson University.
