The Outsourcing/Systems Integration Group is primarily a “customer side” outsourcing, systems integration and information technology/business process support practice.
- Outsourcing. We assist clients in domestic and offshore data center/network ("ITO"); software application development and maintenance ("ADM"); application services provider ("ASP") and business process ("BPO") outsourcing arrangements; as well as joint venture shared services arrangements for ITO, ADM, ASP and BPO services.
- Systems Integration. We assist clients in domestic and offshore Enterprise Resource Platform ("ERP") initiatives comprising the purchase of a license as well as support and maintenance services for enterprise-level software systems and the engagement of a professional services provider to configure and implement the ERP across the client’s enterprise (regional or global) and to train the client’s employees in the use, operation and maintenance of the ERP systems and attendant business processes.
- IT/Business Process Support. We assist clients with their “business as usual” software and intellectual property licensing and development arrangements, and their professional services engagements with consultants, contractors and ERP-level software providers.
In each of these three practice areas, our experience extends to participation in the RFP and service provider qualification and down-selection process; the definition, negotiation and governance of the arrangements; dispute resolution; and the restructuring and repricing of existing arrangements.
Our services include advice across a broad range of matters attendant with domestic and offshore outsourcing, systems integration and licensing arrangements. These matters include relationship governance, dispute resolution, taxation, intellectual property, privacy, data protection, transborder data access and transfer, security, export and import (deemed exports) controls, immigration, third-party rights and consents under client contracts and licenses, client employee transition/release, affected client facilities, and asset transfers and leases.
Our practice group is made up of attorneys who practice exclusively in the outsourcing, systems integration and IT/business process support areas.
