Mark is a partner in the Corporate Practice Group and practices in the areas of corporate and securities law.

Mark represents companies in a wide variety of businesses, including consumer products, finance, fulfillment, health care, hospitality, insurance, Internet banking, manufacturing, quick service restaurants and textiles.  Mark has extensive experience with fast-growth companies, including their start-up, financing and public offering and sale.  Mark is the head of the Restaurant M&A team.

Mark represents public and private corporations in mergers and acquisitions and has worked on more than 50 transactions in the last several years.  He is experienced in acquiring businesses in Europe and Latin America.

REPRESENTATIVE CASES

  • Acquisitions by Spectrum Brands, Inc. (formerly Rayovac Corporation) of: VARTA, AG, a German battery company, for approximately $250 million; Remington Products Company, a U.S. shaving and grooming products company, for approximately $325 million; Tetra GmbH, a German pet food company, for approximately $500 million; United Industries Corporation, a U.S. and Canadian lawn, garden and pet care products company, for approximately $1.1 billion; and the proposed $910 million sale of Spectrum’s pet care products business;
  • Sale of The Life Insurance Company of Georgia for approximately $250 million;
  • Sale of RTM Restaurant Group, Inc., the largest Arby’s franchisee, for approximately $727 million; and
  • Representation of the special committee of Cumulus Media Inc. in the $1.3 billion acquisition of Cumulus by an investor group led by Cumulus' CEO and an affiliate of Merrill Lynch Global Private Equity; Cumulus is the second largest radio company based on station count.

Mark served for 20 years as Legal Counsel to the Atlanta Bar Association.  He is listed in The Best Lawyers in America, Chambers USA: America’s Leading Business Lawyers, Who’s Who in American Law, Who’s Who Legal - Georgia, Who’s Who in America and Who’s Who in the World.  Mark was named a Georgia Super Lawyer by Atlanta magazine and to Georgia Trend magazine’s “Legal Elite.”  He is also one of only five Georgia attorneys named to the International Who's Who of Merger and Acquisition Lawyers 2008
