REPRESENTATIVE EXPERIENCE Peter’s extensive representative experience includes:
- Regularly representing a major financial institution in acquisitions of power generation assets including auction sales, advice on structuring the acquisition, all aspects of due diligence, and negotiating and consummating purchase agreements.
- Developing new generation facilities in Alabama (100 MW), Georgia (80 MW) and Nevada (300 MW).
- Developing renewable energy and waste-to-energy projects, especially solar power projects and the procurement of solar power equipment.
- Representing clients on the purchase and sale of generation equipment and other energy assets in the United States, Japan and South America.
- Developing power purchase and tolling agreements between wholesale power suppliers and commercial customers including electric membership cooperatives.
- Representing clients in joint ventures for the ownership and management of businesses engaged in power generation, the construction and management of nuclear installations and technology, and CO2 pipelines.
- Representing clients in a wide range of LNG transactions including:
- Acquisition of upstream LNG purchase rights.
- LNG purchase and sale agreements.
- Import terminal capacity reservation and terminal use agreements.
- Tug service agreements at LNG terminals including inter-shipper agreements for tug services.
In addition, Peter has handled many matters involving mergers and acquisitions and general corporate law, including:
- Representing British Nuclear Fuels plc in the $5.4 billion sale of its U.S. subsidiary, Westinghouse Electric Company, to Toshiba Corporation.
- Representing international corporations involved in major multi-year corporate acquisition programs in a wide variety of industries.
- Serving clients in cross-border joint ventures and minority investments, including those in Pakistan, Singapore and other countries.
- Advising clients on foreign investment regulation.
- Representing clients in private equity finance and leveraged buyouts.
- Developing joint ownership, shareholder and management agreements.
