- Providing counsel concerning corporate governance matters for public and private clients, including environmental and technology-related services businesses.
- Advising clients concerning capital formation, including securities offerings, for businesses engaged in a variety of industries.
Mergers and Acquisitions
- Representing Veolia Water North America, Inc. and Veolia Energy North America, Inc. in various acquisitions and dispositions of waste treatment and energy assets.
- Representing Arcapita in its acquisition of the Church's Chicken business.
- Providing counsel in the sale of The Life Insurance Company of Georgia for approximately $250 million.
- Representing Culligan International Company in numerous acquisitions and dispositions of bottled water franchises.
Joint-Venture
- Representing First Data Corporation in its credit card processing alliance with Wells Fargo.
