REPRESENTATIVE EXPERIENCE
David’s experience includes:
Mergers, Acquisitions and Joint Ventures
- Representing one of the nation’s top four security guard service companies and its minority stockholder group in the sale of the company by merger to a new private equity sponsor.
- Acting for a publicly traded materials manufacturer in the formation of a joint venture limited liability company, including negotiating and preparing contribution, operating and other agreements to form the new operating joint venture with assets of approximately $75 million.
- Acting for a publicly traded business development company in its simultaneous acquisition of 23 regional consumer products brokerage businesses (including 14 through simultaneous reverse-triangular mergers) with a total enterprise value of approximately $400 million.
- Representing a publicly traded life sciences company in the formation of a joint venture entity for product distribution in Japan.
Private Equity Transactions
- Forming industry-focused private equity investment funds to make targeted investments in real estate and life sciences companies.
- Preparing and negotiating a client-focused co-investment arrangement to allow a business development company to participate in an investment opportunity without forming a sidecar fund or violating regulatory restrictions.
- Assisting early stage companies in completing equity financing investment rounds.
Power Plant Construction and Procurement Transactions
- Representing a global supplier of commercial nuclear power facilities in the negotiation of agreements governing the engineering, procurement and construction of the first three commercial nuclear power facilities in the U.S. in three decades.
- Representing energy companies in the preparation and negotiation of engineering, procurement and construction contracts for combined- and simple-cycle natural gas and alternative energy power plants.
- Advising a nuclear energy client and negotiating the procurement and delivery of high-value nuclear reactor plant equipment for facilities being constructed in China, with an aggregate procurement value in excess of $500 million.
- Negotiating major equipment purchase agreements for the construction of the first wave of new-build nuclear power projects in the U.S., including the procurement of reactor vessels, steam generators, integrated reactor heads, reactor coolant pumps, and containments.
- Representing energy companies in the drafting and negotiation of equipment procurement agreements for boiler systems, combustion turbines, HRSGs, and steam turbines.
Timber Transactions
- Advising a timberland investment management organization in its acquisition of a controlling interest in approximately 160,000 acres of timberland in Belize (comprising approximately 3% of the country’s land area).
- Negotiating log and pulpwood supply and stumpage agreements related to a consortium client’s acquisition of more than 3.8 million acres of timberland in the largest private sale of timberland in U.S. history.
