These transactions range from simple inventory revolving credit lines and equipment and real estate term loans to complex credit facilities involving multiple lenders and borrowers, intricate borrowing formulae, multiple rate options, currency options, combined revolving and term loan features, cross-collateralization, detailed financial and performance covenants and restrictions, and equity participation features. They also represents lenders and issuers of letters of credit in structured financings, including industrial revenue bond issues.
Our attorneys represent both the agent and participating lenders in large secured and unsecured syndicated credit facilities and are experienced in negotiating provisions, such as agency provisions, inter-lender settlement provisions, letter of credit participation mechanisms, and the like, to protect both constituencies. We are experienced in negotiating and documenting complicated intercreditor relationships between holders of senior and subordinate debt, as well as providing for collateral sharing, collateral priority and similar arrangements. We also represent borrowers engaged in a broad range of businesses throughout the United States and internationally and deal with virtually every type of real and personal property collateral. In addition to more traditional corporate financings, we handle innovative secured transaction structures that require us to work closely with the lenders and the borrowers to create and document complex financing designs.
