Tom Herman represents business enterprises in merger and acquisition transactions, complex commercial relationships (in particular joint ventures) and governance matters. Tom has counseled clients in diverse industries, but for the past 20 years has focused on the industrial, insurance services and natural resources sectors.
Since 1991 he has represented a NYSE industrial company in its United States acquisition program, consummating over 75 transactions for the client, including asset exchanges, traditional joint ventures and staged acquisitions structured as joint ventures. Tom’s extensive experience in the natural resources sector includes representing the purchasing consortium in International Paper’s sale of approximately 4.2 million acres of timberlands for $5 billion in cash and notes and Temple-Inland Inc. in its sale of approximately 1.5 million acres of timberlands for $2.3 billion in cash and notes.
Tom also advises timberland investment management organizations (TIMOs) in forming private timberland investment funds and joint ventures to own timberlands, including timberlands outside of the United States. Tom negotiates investment management agreements with institutional investor clients and advises on complying with federal securities laws.
Tom has spent his entire career at Sutherland and has held several firm management positions, including chairing the Corporate Practice Group and serving on the firm’s Executive Committee.
