Meredith O’Leary counsels public and private companies, governmental and non-profit organizations on a diverse spectrum of employment, compensation and benefits law. Her practice focuses on executive compensation and the design, qualification, administration and termination of welfare plans, fringe benefit packages, tax-qualified retirement plans and non-qualified deferred compensation arrangements. Meredith regularly advises clients on employment, compensation and benefits issues that arise in connection with mergers and acquisitions and other business transactions, including with respect to securities and tax law.
Meredith counsels clients on executive compensation issues such as 162(m) performance-based compensation, annual and long-term incentive programs, employment and consulting agreements, change in control agreements, retention and severance arrangements, restrictive covenant agreements, separation arrangements, and equity-based compensation arrangements. She also advises clients on benefit issues such as employment-related tax withholding issues, employment-related securities law issues, compliance with COBRA, HIPPA and the new health care law, and changes in plan and benefit administration as a result of recent DOMA guidance.
Meredith also assists clients with other aspects of employment law, including hiring practices, leave policies and practices, employment termination, personnel policies, and fiduciary matters, including employee stock ownership plans and other forms of employee ownership. Her clients include financial institutions, private equity groups, hedge funds, governmental entities, educational institutions, hospitals, pharmaceutical manufacturers, airlines, defense contractors, and telecommunications entities.
