Jay advises customer-side clients on outsourcing services arrangements and the procurement of technology and technology-related services. Jay helps clients define, negotiate and contractually implement the performance, performance accountability, quality, governance and financial leverage mechanisms to drive timely and proper performance by suppliers in offshore and onshore services arrangements. These arrangements include business process outsourcing (BPO), information technology outsourcing (ITO), application software acquisition, development and maintenance (AD/M), software as a service (SaaS) and human resource outsourcing (HRO) arrangements. Jay also advises clients on onshore and offshore joint ventures and shared services arrangements.
Jay guides his clients through the service provider selection and contracting process, from developing criteria and the request for proposal (RFP) to conducting competitive down-selection processes and negotiating the service delivery, performance, performance accountability, security, privacy and governance aspects of the arrangement.
Jay has substantial experience in the banking, insurance, food products, consumer products, publishing and printing, distribution, utility, energy and online data/analytics industries as well as in finance and merger & acquisition transactions. The geographical coverage of his engagements includes Mexico, India, and the United States.
