With a law career that spans four decades, Ed Hales guides and facilitates his clients’ investments in commercial real estate projects, including acquisitions, construction and development, financing and syndication, joint ventures and other forms of co-investment, equity formation, and creditor’s rights litigation involving real estate, including bankruptcy. Ed’s principal clients are private equity firms and institutional investors, such as insurance companies, tax-exempt investors, public and private pension funds, leading investment managers and advisory firms.

Ed devotes significant time to transactions involving hotels, conference centers, resorts and golf courses, with substantial involvement in public/private strategic alliances and Caribbean development. He frequently advises clients in connection with creating appropriate entity structures to facilitate complex financial transactions, such as multi-tiered, multiparty real estate co-investment transactions, partnerships and joint ventures. Additionally, Ed works in the agribusiness law arena, helping his clients acquire large portfolios of timber and farmlands internationally and across the country.

Selected Experience

Sutherland represents a public employee pension plan's $600 million debt fund.
Sutherland represents a $600 million debt fund sponsored by a large public employee pension plan in the organization and structuring of the fund, including UBTI advice, and negotiating the management agreement.
Sutherland represents debt investor in restructuring capital stack for portfolio of eight resort properties.
Sutherland is working our client to restructure the capital stack for a portfolio of eight iconic U.S. destination resort properties.  The transaction involves extending and restructuring approximately $730 million in mortgage debt. The portfolio, currently performing, cannot be refinanced at maturity unless the portfolio is de-leveraged through a new capital infusion and a restructuring of the existing debt, particularly the mezzanine debt, a significant portion of which is held by the Sutherland client.
Sutherland assists employee pension fund to develop a programmatic joint venture.
Sutherland represented a large public employee pension fund in a programmatic joint venture to acquire and develop multifamily properties.
