Darryl Smith represents electric utilities—particularly electric cooperatives—and investment banks in their financial transactions and securities law compliance. His experience includes taxable and tax-exempt bond offerings, federally-registered and exempt securities offerings, credit facility transactions, sale or lease-leaseback financings and federally-guaranteed financings. Darryl also assists clients with meeting both federal and state securities laws and regulations, including mandatory filings with the U.S. Securities and Exchange Commission (SEC).
Darryl is also active in advising clients in connection with tax-exempt municipal bond financings, primarily in the healthcare and educational sectors. Darryl has served in various capacities in these transactions, including bond, borrower’s or underwriter’s counsel. In addition to his securities and finance practice, Darryl has broad experience advising clients on general corporate governance matters.
Before joining Sutherland, Darryl served as a summer associate with a firm in Jacksonville, Florida, and as an intern for the Office of the State Attorney in Florida’s Eighth Judicial Circuit. Prior to attending law school, Darryl worked in various sales and management positions for the Cintas Corporation.
