WASHINGTON (April 20, 2011) – Sutherland Asbill & Brennan LLP represented Fifth Street Finance Corp. (NYSE:FSC) (Fifth Street) in a private offering of $150 million of the aggregate principal amount of Fifth Street’s 5.375% convertible senior notes due 2016. J.P. Morgan Securities LLC and Morgan Stanley & Co. Incorporated acted as representatives of several initial purchasers in connection with the offering. Fifth Street has also granted the initial purchasers an option to buy up to an additional $22.5 million of the convertible senior notes.
In conjunction with the offering, Fifth Street also sold $2 million of the principal amount of the convertible senior notes to its Chief Executive Officer, Leonard M. Tannenbaum.
